1. Agreement
These Terms & Conditions (“Terms”) govern your access to and use of the PayDrop app, website,
membership services, promotions, and any related features provided by PayDrop Pty Ltd
(“PayDrop”, “we”, “us”, or “our”).
By creating an account, subscribing to PayDrop, accessing the app, or using any PayDrop services,
you agree to be legally bound by these Terms.
2. Service Overview
PayDrop is a subscription-based membership platform that provides members with access to
exclusive in-store offers and discounts at participating businesses.
3. Membership Eligibility
To use PayDrop, you must provide accurate account information, maintain an active subscription
where required, and use your membership personally.
4. Subscription & Billing
Subscriptions are billed through your app store provider and may auto-renew unless cancelled.
5. Using PayDrop
You must present a valid membership and comply with merchant verification requirements.
6. Discounts & Merchant Offers
Discounts apply only to eligible participating services or products and may vary by merchant.
7. Excluded Products, Services & Restricted Treatments
Restricted products include injectables, prescription medicines, regulated treatments, tobacco,
nicotine products, restricted alcohol promotions, gambling-related services, and other regulated
services under Australian law.
8. Payments, Refunds & Transactions
Payments are made directly to merchants. Refunds and disputes must be handled with the
merchant.
9. Weekly Drop & Promotions
Promotional features may be modified, paused, or removed at any time.
10. Availability of Service
Merchant participation and available offers may vary by location.
11. Account Security
You are responsible for maintaining your account security and must not share your membership.
12. Suspension & Termination
PayDrop may suspend or terminate accounts for breaches, fraud, misuse, or unlawful conduct.
13. Limitation of Liability
PayDrop is not responsible for merchant conduct, pricing, service quality, or merchant disputes.
14. Changes to Terms
Terms may be updated at any time. Continued use constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of New South Wales, Australia.

17. End User License Agreement (EULA)
This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“User” or “you”) and PayDrop PTY LTD (“Company”, “we”, “us”, or “our”) for the use of the PayDrop user app – qr scan and subscription mobile application (the “Application”).
By downloading, installing, or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, install, or use the Application.
17.1 License Grant
The Company grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Application strictly in accordance with the terms of this Agreement on compatible Apple iOS devices that you own or control.
17.2 Subscriptions & In-App Purchases
Premium Digital Features: The Application offers auto-renewable subscriptions via Apple’s In-App Purchase system to unlock premium digital utility features, specifically the Dynamic QR Verification Scanner and the generation of a Digital Premium Membership Card.
Billing & Cancellation: Payment will be charged to your Apple ID account at the confirmation of purchase. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You can manage and cancel your subscriptions in your App Store Account Settings.
17.3 Nature of Service & No Physical Goods Sales
Digital Validation & Membership Tool Only: The Application provides a digital verification and loyalty service. Upon purchasing an active subscription, the Application unlocks the QR code scanning functionality and generates a verified Digital Membership Card within the app.
In-Store Discount Access: Users must present their active in-app Digital Membership Card and scan unique verification QR codes generated dynamically by registered business partners via the PayDrop Business application. This process acts strictly to validate the user’s active membership status and physical presence at the partner location to unlock digital loyalty discounts or promotional coupons.
Independent Offline Transactions: The Application does not sell, deliver, or handle transactions for any physical goods, products, or real-world services. Any actual purchase of physical goods or services takes place entirely offline, directly between you and the respective third-party merchant. PayDrop PTY LTD is not a party to, nor responsible for, any offline commercial transactions, payments, or the quality of physical goods purchased at physical merchant locations.
17.4 Termination & User Conduct
We reserve the right, without notice and at our sole discretion, to terminate your license to use the Application and to block or prevent your future access if you violate this Agreement, attempt to manipulate or bypass the QR verification validation system, reuse or counterfeit the Digital Membership Card fraudulently, or engage in any fraudulent activities.
17.5 Standard Apple EULA Terms
This Agreement incorporates by reference the standard Apple Licensed Application End User License Agreement (the “Standard EULA”) provided by Apple Inc. available at Apple Standard EULA.
In the event of any conflict between this custom EULA and Apple’s Standard EULA, the terms of this Agreement shall prevail concerning the unique verification and membership functionality of the Application.
17.6 Limitation of Liability
To the maximum extent permitted by applicable law, PayDrop PTY LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or issues arising from commercial transactions and disputes between Users and third-party offline merchants.
